Submitting a booking inquiry does not create a confirmed booking. A booking isconfirmed only when accepted in writing by Charlies.Venues LLC through awritten agreement, invoice, email confirmation, or other written confirmation.We reserve the right to decline any booking inquiry at our sole discretion.

Charlies.Venues LLC is not responsible for venue licensing, event permits,security, crowd control, parking, accessibility of the venue, occupancy limits,alcohol licensing, weather or event safety, sound ordinances, venue conditions,or other obligations controlled by the event host, venue, promoter, or thirdparty. Confirmed performances are subject to any separate Booking Agreement,invoice terms, email confirmation, performance policy, or event-specific termsprovided in connection with the performance.

By confirming a booking, the venue or event host represents and warrants thatit holds, or is responsible for obtaining and maintaining, all requiredpublic-performance licenses, permissions, permits, and authorizations necessaryto lawfully host live musical performances at the time of the engagement,including where applicable licenses from performing rights organizations suchas ASCAP, BMI, SESAC, GMR, or any other applicable rights organization.Charlies.Venues LLC and/or Some Singers Diary and/or the applicable rightsowner relies on this representation and is not responsible for independentlyverifying the venues licenses, permits, authorizations, or compliance status,or for any claim arising from the venues or event hosts failure to obtain ormaintain appropriate licenses, permits, authorizations, or approvals.

9. Intellectual Property
